(the \u201c<strong>Issuer<\/strong>\u201d)<\/a>, Istituto per la Gestione e il Recupero dei Crediti S.p.A. in its capacity as master servicer (&#8220;<strong>IGRC<\/strong>&#8221; or the &#8220;<strong>Master Servicer<\/strong>&#8221; or the \u201c<strong>Corporate Servicer Provider<\/strong>\u201d) and <a href=\"https:\/\/www.s3immobili.sm\/chi-siamo\">S3 \u2013 Special Servicer Sammarinese S.r.l. in its capacity as special servicer (&#8220;<strong>S3<\/strong>&#8221; or the &#8220;<strong>Special Servicer<\/strong>&#8220;)<\/a> entered into a servicing agreement, pursuant to which, <em>inter alia<\/em>,<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>the Issuer appointed IGRC as:\n<ul class=\"wp-block-list\">\n<li>&#8220;<em>Servicer incaricato dal Veicolo di Sistema per incassi, pagamenti, recupero crediti o gestione e smobilizzo degli Attivi Bancari ceduti dagli originator e in seguito cartolarizzati<\/em>&#8221; pursuant to article 13, paragraph 1, of the San Marino Securitisation Law and &#8220;<em>della riscossione dei crediti ceduti e dei servizi di cassa e di pagamento ovvero della gestione dei beni materiali ceduti<\/em>&#8221; pursuant to Article 3, paragraph 4, letter (c) of the San Marino Securitisation Law and <em>&#8220;incaricato di verificare la conformit\u00e0 delle operazioni di cartolarizzazione alla LEGGE, alle vigenti disposizioni di vigilanza e al PROGRAMMA&#8221; <\/em>pursuant to article 19, paragraph 1, of the Regulation 2022-04; and\n<ul class=\"wp-block-list\">\n<li>Corporate Servicer Provider for the performance of certain corporate services (as set out in annex I (<em>Attivit\u00e0 di Servizi Amministrativi<\/em>) of the Servicing Agreement); and<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<\/li>\n\n\n\n<li>IGRC, within the consent of the Issuer, has appointed S3 to act as Special Servicer of the Transaction and, for the effect, has subdelegated to S3 certain activities related to the management, administration, recovery and collection of the Banking Assets and related reporting activities, as better detailed in the Servicing Agreement.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><\/p>\n","protected":false},"excerpt":{"rendered":"<p>Istituto per la Gestione e il Recupero dei Crediti S.p.A., a joint stock company incorporated in the Republic of San Marino as a societ\u00e0 per azioni pursuant to DD 126\/2020 and Regulation 2022-04, whose registered office is at Piazza Bertoldi, 8, Republic of San Marino, enrolled with the Companies\u2019 Register referred to in Companies Law No. 9385, share capital equal to Euro 248,000 fully paid-up.
